1. Agreement and operator

These Business Terms of Service (the Terms) form a binding agreement between the business or organization accepting them (Customer or you) and taplyy, an unincorporated business operated from Lebanon (taplyy, we, us, or our). If you use the service for an organization, you confirm that you have authority to bind it.

taplyy is offered only for business and professional use. It is not offered to individuals acting primarily for personal, family, or household purposes. These Terms include the Acceptable Use Policy and, where taplyy processes personal data for a Customer, the Data Processing Addendum.

2. The service and our role

taplyy provides tools for creating, distributing, updating, and measuring digital passes and related campaigns for Apple Wallet and Google Wallet. Features may include templates, campaign controls, notifications, redemption or scan records, analytics, and integrations.

taplyy supplies technical infrastructure. The Customer remains the owner and operator of its loyalty, membership, offer, ticket, access, or other customer program and is responsible for the goods, services, benefits, eligibility rules, balances, refunds, admissions, and promises represented by every pass.

3. Accounts and workspace administration

  • You must provide accurate account and business information and keep it current.
  • You are responsible for authorized users, roles, access permissions, and all activity under your workspace.
  • You must protect login credentials, use reasonable security controls, and notify us promptly of suspected unauthorized access.
  • Google sign-in is also governed by Google's applicable account and identity terms. We do not receive your Google password.

4. Orders, fees, taxes, and payment

Commercial terms such as plan, usage limits, subscription period, fees, currency, onboarding, and renewal will be stated in an accepted order form or checkout flow. If an order form conflicts with these Terms, the order form controls only for that conflict.

Fees are exclusive of applicable taxes unless stated otherwise. You authorize our appointed third-party payment provider to process charges when payment functionality becomes available. taplyy will not require or store complete payment-card credentials on its own systems.

Except where an order form or mandatory law says otherwise, fees already paid are non-refundable and subscriptions may be cancelled effective at the end of the current paid period. We will disclose the payment provider and any provider-specific terms before collecting payment.

5. Customer content and permissions

Customer Content includes names, logos, trademarks, images, pass fields, campaign messages, locations, links, program terms, end-user information, and other material submitted to the service. As between the parties, the Customer retains its rights in Customer Content.

You grant taplyy and its subprocessors a worldwide, non-exclusive, limited license to host, reproduce, format, transmit, sign, display, and otherwise use Customer Content only to provide, secure, support, and improve the service and comply with law. This license lasts for the service term and any limited retention period described in our privacy documents.

  • You have all rights, licenses, notices, and consents needed for Customer Content and pass issuance.
  • Customer Content and every pass are accurate, current, lawful, and not misleading.
  • Your program terms clearly explain eligibility, expiry, redemption, refunds, stored value, and material restrictions.
  • You are authorized to instruct taplyy to process passholder data and transmit required data to Apple or Google.

6. Apple Wallet and Google Wallet

Apple and Google are independent third-party platform providers. They do not sponsor or endorse taplyy, and taplyy cannot control their approval processes, availability, device behavior, pass presentation, notifications, technical limits, or policy changes.

For Google Wallet, taplyy may act as an aggregator and issue wallet objects through taplyy's issuer credentials where permitted. The Customer authorizes taplyy to submit Customer Content and necessary passholder information to Google and confirms it has the rights required by Google's terms.

For production Apple Wallet programs, the Customer must maintain its own eligible Apple Developer account, Pass Type IDs, certificates, and issuer identity, and appoint taplyy only as a service provider where Apple permits. taplyy's individual Apple credentials are not offered as shared credentials for signing third-party customer passes.

  • The Customer must comply with all applicable Apple and Google agreements, brand rules, acceptable-use policies, technical documentation, and program requirements.
  • Each production pass must identify the responsible issuer and provide the name, physical address, telephone number, and email for passholder questions and claims where required by Apple or applicable law.
  • The Customer is responsible for end-user assistance, fulfillment, warranties, and support relating to its passes and underlying program.
  • Platform rejection, suspension, revocation, or discontinuation may require us to suspend or modify affected functionality without liability for the platform decision itself.

7. Passholders and customer programs

The Customer, not taplyy, contracts with each passholder regarding the Customer's program. The Customer must provide passholders with its own program terms and privacy notice before or when required by law, obtain valid marketing and location-related permissions, and provide a straightforward way to withdraw consent or leave the program.

taplyy is not responsible for a Customer's products, venues, events, rewards, balances, discounts, access decisions, refunds, messages, legal compliance, or acts and omissions. A pass is not a payment instrument unless expressly supported under a separately approved regulated integration.

8. Privacy, data, and security

Our Privacy Notice describes data taplyy handles for its own business purposes. The Passholder Privacy Notice explains the relationship between taplyy and business customers. For Customer Personal Data processed on the Customer's instructions, the Data Processing Addendum applies.

We maintain reasonable administrative, technical, and organizational safeguards appropriate to the service. No online service is completely secure, and the Customer remains responsible for configuring its workspace, limiting submitted data, and protecting exported records and connected systems.

9. Confidentiality

Each party may receive non-public information that is identified as confidential or should reasonably be understood as confidential. The receiving party will protect it using reasonable care, use it only for the agreement, and disclose it only to personnel and providers who need it and are bound by confidentiality obligations. These duties do not cover information lawfully public, already known without restriction, independently developed, or lawfully received from another source.

A party may disclose confidential information when legally required after giving notice where permitted. Customer Personal Data remains subject to the stronger protections in the Data Processing Addendum.

10. Availability and changes

We aim to provide a reliable service but do not promise uninterrupted or error-free operation. Maintenance, security incidents, internet failures, third-party services, and Apple or Google changes may affect availability.

We may improve, replace, limit, or discontinue features. For a material reduction to paid core functionality, we will provide reasonable notice when practical, except for urgent security, legal, or platform-compliance reasons. Preview or beta functionality is provided as-is and may change or end at any time.

11. taplyy intellectual property

taplyy and its licensors retain all rights in the service, software, interfaces, designs, documentation, analytics methods, and branding, excluding Customer Content. Subject to payment and compliance with these Terms, we grant the Customer a limited, non-exclusive, non-transferable right to use the service during its subscription for internal business purposes.

Feedback may be used without restriction or payment, provided we do not identify the person or Customer who supplied it without permission. You may not reverse engineer, resell, sublicense, scrape, benchmark publicly, or use the service to build a competing product except where mandatory law expressly permits it.

12. Suspension and termination

We may suspend access or affected passes when reasonably necessary to prevent harm, address a security incident, comply with law or platform rules, respond to non-payment, or stop a material breach. When practical, we will give notice and an opportunity to cure.

Either party may terminate for a material breach not cured within 30 days after written notice, or immediately for insolvency, illegality, fraud, or a breach that cannot be cured. On termination, access ends and outstanding fees become due. We will provide a reasonable opportunity to export available Customer Content when technically feasible, unless prohibited by law, security needs, or non-payment.

The Customer must plan for pass continuity and communicate program changes to passholders. Existing wallet passes may remain on devices or platform systems after termination until removed, expired, or invalidated, and platform behavior is outside taplyy's control.

13. Disclaimers

To the maximum extent permitted by law, the service is provided as-is and as-available. taplyy disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant any business outcome, redemption level, customer engagement, platform approval, uninterrupted availability, or legal compliance of a Customer's program.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

14. Customer indemnity

To the extent permitted by law, the Customer will defend and indemnify taplyy and its operator, personnel, and providers against third-party claims, losses, penalties, and reasonable costs arising from Customer Content, the Customer's program or passes, products or services represented by a pass, breach of these Terms, violation of law or platform rules, infringement of third-party rights, or instructions concerning passholder data. We will provide prompt notice and reasonable cooperation, and the Customer may control the defense subject to our right to participate and approve settlements that admit fault or impose obligations on us.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, opportunities, or data, even if advised that they were possible.

Except for payment obligations, misuse of the other party's intellectual property, breach of confidentiality, indemnity obligations, fraud, wilful misconduct, or liability that cannot be limited by law, each party's total aggregate liability arising from the service will not exceed the fees paid or payable by the Customer for the service during the 12 months before the event giving rise to the claim. For free or beta use, taplyy's aggregate liability will not exceed USD 100.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Lebanon, without regard to conflict-of-laws rules. Before filing a claim, each party will give written notice and allow at least 30 days for good-faith resolution.

If the dispute is not resolved, the competent courts of Beirut, Lebanon will have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any court with jurisdiction. Mandatory rights or jurisdiction rules that cannot be waived remain unaffected.

17. General terms and contact

Neither party is liable for delay caused by events beyond reasonable control, excluding payment obligations. The Customer may not assign the agreement without our consent, except with a merger or sale of substantially all assets if the successor accepts the agreement. We may assign it in connection with incorporation, reorganization, financing, or sale of the business and will update the operator details accordingly.

These Terms, the accepted order form, the Acceptable Use Policy, and the Data Processing Addendum are the entire agreement for the service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder continues. Failure to enforce a term is not a waiver. Notices may be delivered electronically.
